Terms and Conditions

These Terms govern access to Alpha1Rides websites, registration channels, Rider and Driver products, mobility services and related platform features operated by The Alpha 1 Company.

Effective 1 October 2026
Current rollout status. Alpha1Rides is in a phased relaunch. Some services, features, operating areas, fare models, payment options or partner services described in these Terms may be introduced gradually and may not be available to every user at all times.

1. About these Terms

These Terms and Conditions (the “Terms”) form an agreement between you and The Alpha 1 Company in relation to Alpha1Rides. “Alpha1Rides”, “we”, “us” and “our” refer to the Alpha1Rides service operated by The Alpha 1 Company. “Platform” includes our websites, Rider and Driver applications, registration pages, communications channels and related mobility technology services.

By accessing the Platform, joining a founding list, creating an account, requesting or providing a trip, or otherwise using Alpha1Rides, you agree to these Terms and our Privacy Policy. If you do not agree, you should not use the relevant service.

3. Eligibility and accounts

You must provide accurate information and keep your account details current. You are responsible for maintaining the confidentiality of account credentials and for activity carried out through your account, except to the extent caused by our failure to apply reasonable security measures.

Riders must meet any minimum age and legal-capacity requirements that apply to the relevant service. Driver access is subject to separate onboarding, identity, licence, vehicle, insurance, verification and other eligibility requirements that we may publish from time to time.

We may use identity, phone, device, payment, vehicle or other verification measures to protect users and the Platform.

4. Our role as a mobility platform

Alpha1Rides uses technology to connect riders with eligible independent drivers and may also connect users with fleet operators, corporate mobility providers, payment providers and other partners. Unless we expressly state otherwise for a particular service, drivers are not employees of Alpha1Rides merely because they use the Platform.

Drivers decide whether to go online and whether to accept trip requests, subject to Platform rules, applicable law and any commitments they make after accepting a trip. We may set or display service standards, safety requirements, pricing rules, cancellation rules and other operational controls necessary to run the marketplace.

5. Rider responsibilities

Riders must use the Platform lawfully, provide accurate pickup and destination information, treat drivers and other users respectfully, pay valid charges, and avoid conduct that could endanger, harass, discriminate against or defraud another person.

You must not request a driver to carry prohibited items, exceed lawful passenger limits, break traffic or safety laws, or participate in any arrangement intended to avoid properly disclosed Platform charges.

6. Driver responsibilities

Drivers must maintain all licences, permits, approvals, vehicle documents and insurance required by law or by Alpha1Rides for the relevant service. A driver must ensure that the vehicle presented to riders matches the vehicle registered on the Platform unless an approved substitution has been made.

Drivers must operate safely, professionally and lawfully; must not discriminate unlawfully; must not manipulate location, trip, payment or account information; and must not allow an unauthorised person to use a Driver account.

Driver earnings, service charges, incentives, taxes and payout rules may be described separately in the Driver application, onboarding materials or a Driver commercial schedule. Those published terms form part of these Terms for the relevant Driver service.

7. Fares, charges and payments

Before or during a booking, the Platform may show a fixed fare, an estimated fare, a metered or time-and-distance fare, a negotiated fare, or another pricing method permitted for the service. The amount payable may reflect distance, duration, demand, tolls, waiting time, taxes, fees, promotions, route changes and other clearly disclosed factors.

Where Nigerian consumer law requires price or material terms to be disclosed before a transaction, we will aim to present those terms clearly before commitment. A final amount may differ from an estimate where the trip itself changes or where a lawful, disclosed adjustment applies.

Payments may be processed by Alpha1Rides or by third-party payment providers. Cash may be available for selected services. Users must not misuse chargebacks, payment disputes, promotions, vouchers or referral programmes.

8. Negotiated or offer-based fares

For selected trip types, Alpha1Rides may allow a rider to propose a fare or invite offers from available drivers. Drivers may accept the proposed amount, submit an alternative offer, or decline. The rider may select from eligible offers displayed by the Platform.

Any agreed fare remains subject to applicable taxes, tolls, waiting charges or other amounts clearly disclosed by the Platform. Negotiated pricing does not permit users to bypass Alpha1Rides or conceal an otherwise Platform-arranged trip.

9. Cancellations, no-shows and waiting

Riders and drivers may cancel in accordance with the cancellation rules displayed for the relevant service. A reasonable cancellation or waiting charge may apply after stated thresholds, including where a driver has committed time and travel to reach the pickup location.

As a general rule, Alpha1Rides does not charge a normal trip commission for a ride that is genuinely not completed. However, a separately disclosed cancellation, arrival, waiting, marketplace-protection or similar charge may apply where the relevant conditions are met. Any such charge will be governed by the rule presented to the affected user for that service.

Nothing in this section removes any cancellation or refund right that cannot lawfully be excluded under Nigerian consumer law.

10. Off-platform trips and revenue diversion

A rider and driver introduced through Alpha1Rides must not deliberately cancel, misclassify or conceal a Platform-arranged trip in order to continue the same journey privately and avoid Platform charges or safety controls.

Where abuse of this kind becomes a material operational risk, Alpha1Rides may enable a clearly disclosed rule under which a Driver charge becomes due after objective criteria are met, such as verified arrival at the pickup location followed by circumstances indicating that the Platform-arranged service continued outside the Platform. Such a rule must be displayed or otherwise communicated to the Driver before it applies.

We may investigate suspected collusion, manipulated trip records, repeated suspicious cancellations, GPS manipulation or payment diversion and may reverse incentives, recover improperly avoided charges, restrict accounts or take other proportionate action.

11. Safety, emergencies and acceptable conduct

Alpha1Rides may provide safety features such as trip tracking, identity or vehicle verification, support channels, trip sharing, emergency escalation or safety alerts. These tools can reduce risk but cannot eliminate every risk associated with road travel or interactions between people.

In an immediate emergency, contact the appropriate emergency service or public authority first where feasible. Platform support is not a substitute for police, medical, fire or other emergency services.

Harassment, violence, threats, unlawful discrimination, sexual misconduct, fraud, dangerous driving, weapons misuse, trafficking, exploitation and other serious misconduct are prohibited.

12. Ratings, feedback and user content

Riders and drivers may be able to rate one another and provide feedback. Feedback must be genuine and must not be abusive, discriminatory, defamatory, fraudulent or manipulated. We may remove content or exclude ratings where there is a reasonable basis to believe they are unreliable or violate Platform rules.

If you submit comments, photographs, reviews or other content for publication, you grant us a non-exclusive licence to host, reproduce and display that content for operating and promoting Alpha1Rides, subject to applicable law and our Privacy Policy.

13. Promotions, founding lists and pre-launch registrations

Joining a Founding Rider, Founding Driver or other pre-launch list expresses interest only. Unless expressly stated, it does not guarantee launch timing, service availability, employment, driver approval, a particular incentive, investment opportunity, priority access or any specific commercial benefit.

Promotions may have separate eligibility rules, limits, expiry dates and anti-abuse conditions.

14. Account restriction, suspension and termination

We may warn, restrict, suspend or terminate an account where reasonably necessary for safety, fraud prevention, repeated non-payment, serious or repeated rule violations, legal compliance, system security or protection of users and the Platform. Where appropriate, we may request information or provide a review channel.

You may stop using the Platform at any time. Account closure does not extinguish amounts already due, unresolved investigations, legal obligations or rights that by their nature survive termination.

15. Intellectual property

The Alpha1Rides name, logos, software, interface designs, text, graphics, databases and other Platform materials are owned by or licensed to The Alpha 1 Company and are protected by applicable intellectual-property laws. No licence is granted except the limited right to use the Platform for its intended purpose.

You must not copy, scrape, reverse engineer, circumvent technical controls, create confusingly similar services, misuse our trademarks or commercially exploit Platform materials except where permitted by law or written agreement.

16. Third-party services

The Platform may depend on mapping, telecommunications, cloud, payment, banking, insurance, identity, vehicle, fleet or other third-party services. Their own terms may apply. We are not responsible for a third party's separate acts or omissions to the extent responsibility cannot legally be attributed to us.

17. Service availability, liability and statutory rights

We aim to provide a dependable Platform, but internet, mobile, mapping, payment and marketplace services can be interrupted or contain errors. We may modify, suspend or discontinue features, operating zones or services where reasonably necessary.

Nothing in these Terms excludes or limits any liability, consumer right or remedy that cannot lawfully be excluded or limited under the Federal Competition and Consumer Protection Act, 2018 or other applicable Nigerian law. In particular, these Terms do not excuse fraud, deliberate misconduct, unlawful misrepresentation or liability that legislation makes non-excludable.

Subject to those mandatory rights, Alpha1Rides is not liable for losses that are remote, speculative or not reasonably foreseeable from the relevant breach, or for losses caused solely by an independent user's unlawful conduct where Alpha1Rides itself has not breached a legal duty.

18. Indemnity for misuse

To the extent permitted by law, a user who unlawfully misuses the Platform may be responsible for direct losses, claims or costs reasonably caused by that misuse. This clause does not require a consumer to waive statutory protections or indemnify Alpha1Rides for Alpha1Rides' own fraud, negligence or unlawful conduct.

19. Privacy

Our collection and use of personal data is described in the Alpha1Rides Privacy Policy. Location, identity, trip and safety data can be especially important to mobility services, so users should read that Policy carefully.

20. Changes to the Platform or these Terms

We may update these Terms to reflect new services, legal requirements, safety measures or operating practices. If a change materially affects users, we will take reasonable steps to provide notice through the Platform or another appropriate channel before the change takes effect where required by law.

The version published on this page will show the current effective date. Continued use after an update takes effect constitutes acceptance to the extent permitted by law.

21. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Before starting formal proceedings, users are encouraged to contact Alpha1Rides support so that complaints can be reviewed and, where possible, resolved promptly.

Nothing in these Terms prevents a consumer from using a complaint or redress mechanism available under Nigerian law, including an appropriate regulator or court with jurisdiction.

22. General provisions

If a provision is held invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce a provision immediately is not a waiver of the right to enforce it later. We may transfer our rights or obligations as part of a lawful reorganisation, financing, merger, acquisition or transfer of the Alpha1Rides business, subject to applicable law.
